These terms and conditions govern the relationship between InteriorNet and our bespoke designers, ensuring quality service delivery and professional standards for our premium design service.
Definitions
The following definitions apply to these terms:
- Designer means any company or person who registers for a Membership with the Website and uses the Service to search for Projects or Jobs.
- Customer means any person or persons who registers with the Website or contacts us directly to search for a Designer.
- Membership means the Designer who is named on an application for membership and for whom, following acceptance by us, we have agreed to provide services to, in accordance with these terms.
- Project refers to any design project posted by a Customer via the Website or communicated to us directly.
- Profile means a Designer's profile on the Website.
- FF&E means Furniture, Fixtures and Equipment including, but not limited to, any physical product or furnishing supplied to a Customer that is not part of the Designer's design consultancy services.
- Website means www.interiornet.co.uk.
Agreement
These InteriorNet Bespoke Service (IN Bespoke) Terms & Conditions for Designers set out the terms of the agreement between us and you as an interior designer who is approved for IN Bespoke.
These Terms are in addition to our Terms of Service and the Terms of Supply of Service. Any terms defined in those policies have the same meaning here.
This agreement is legally binding once you confirm your participation in the IN Bespoke service via email or other documented means.
Interior Design Referrals
Once approved, we aim to introduce you to potential Customers. We will:
- Contact Customers to gather information on their Project scope, budget, and timeline;
- Contact you to assess your interest;
- Agree with you on a percentage commission payable to us (the "Agreed Fee");
- If no express written agreement is made, the default Agreed Fee shall be:
Project Value | Fee Scale |
---|---|
Up to £250,000 | 12.5% of Designer's fee |
£250,001 - £500,000 | 10% of Designer's fee |
£500,001+ | 7.5% of Designer's fee |
We then connect you with the Customer to progress the Project. You are under no obligation to pay an Agreed Fee if no revenue is earned unless otherwise agreed in writing.
We are not obligated to refer work and reserve the right to decline referrals at our sole discretion.
Subsequent Work for the Same Client
For Follow-up Work (on the same property), the Agreed Fee is 5%.
For a New Project (different property), the Agreed Fee is 3%.
Both exclude FF&E and are payable as outlined in the Payment Terms.
Payment Terms
You irrevocably agree to:
- Keep us informed of the status and scope of any Project, Follow-up Work, or New Project;
- Notify us when instructed by a Customer, including:
- Agreed budget;
- Estimated revenue (excluding FF&E);
- Fee structure (fixed, hourly, percentage, etc.);
- Duration of engagement;
- Notify us within 7 days of issuing any invoice to the Customer. We will issue our invoice accordingly, which must be paid within 30 days.
Agreed Fees are non-refundable unless required by law. Payments must be made in full without set-off. Late payments will incur interest at 3% above the Bank of England base rate until paid.
We reserve the right to examine financial records related to referred Projects upon reasonable prior notice. Each party bears their own audit costs.
Non-Circumvention
You agree not to circumvent InteriorNet by working directly with a Customer introduced by us to avoid payment of the Agreed Fee. This obligation survives termination for 12 months.
Data Protection
You agree to handle all personal data in accordance with the UK GDPR and Data Protection Act 2018. You may only use Customer data to provide agreed services and may not share or reuse it otherwise.
Your Content
In addition to Clause 10 of the Terms of Supply of Service, you:
- Are solely responsible for Your Content;
- Warrant that it is accurate, lawful, and free of third-party IP claims;
- Must not post or link to illegal, offensive, misleading, or harmful material;
- Grant us a perpetual, irrevocable, worldwide licence to use, edit, and publish Your Content online or offline for platform promotion and related uses.
Additional Prohibited Uses
You must not:
- Share access credentials with others;
- Upload false or misleading information;
- Submit content fraudulently or by automated means.
Term and Termination
This agreement is valid for an initial 12 months from the date of acceptance and renews annually unless terminated by either party with 30 days' written notice.
We may terminate immediately for breach. On termination, we may block access to your account and retain Your Content.
Termination does not affect:
- Our right to claim unpaid fees;
- Any obligations accrued prior to termination;
- Clauses intended to survive termination, including payment and non-circumvention.
Dispute Resolution
If a dispute arises, both parties agree to first attempt resolution in writing. If unresolved after 30 days, either party may refer the dispute to mediation before initiating legal proceedings.
